These Terms of Service ("Terms") and our Usage Policy, also known as our Acceptable Use Policy ("AUP"), constitute the agreement between you and ARC Labs AG (referred to below as “ARC”), including its affiliates and subsidiaries, regarding your use of Reactor Chat AI, Reactor APIs and any other products, apps, software, and websites we may offer (collectively, the "Services"). By accessing or using our Services, you agree to comply with these Terms, including any changes made to them in accordance with the Terms.
These Terms apply to users residing in the European Economic Area (EEA) or Switzerland who use our Services primarily for personal, non-commercial purposes. In these Terms, “we,” “us,” or “our” refers to ARC Labs AG Any terms used in bold or within quotation marks are defined upon their first use.
Please review our Privacy Policy, which outlines how we collect and handle your personal information.
Important Note:
Our Commercial Terms of Service govern the use of any ARC API key, or any other ARC Solutions offerings referencing the Commercial Terms of Service. This does not cover individual or entity use of Reactor AI Chat.
About ARC
ARC specializes in AI safety and research, focusing on developing reliable, interpretable, and steerable AI systems. Our mission involves conducting cutting-edge research, applying diverse safety techniques, and deploying these systems through various partnerships and products.
Creating and Managing Your Account
Minimum Age Requirement: You must be at least 18 years old to use our Services.
Your ARC Account: To access our Services, you may need to create an account ("Account") by providing certain details, such as your email address and a password, or access to your X/Facebook/Telegram profile. You agree to provide accurate, current, and complete information and to keep this information updated. You also agree not to share your Account credentials, ARC API key, or login information with anyone else. You are responsible for all activities under your Account and must notify us immediately of any unauthorized access by contacting contact@arc.ai.
You can close your Account at any time by emailing us at contact@arc.ai.
Business Accounts: If you use an email address owned by your employer or another organization, your Account may be linked to the organization's enterprise account, and the administrator of that account may have the right to monitor and control your Account, including access to your Materials. We will notify you before linking your Account to an organization's enterprise account, except where the organization has already informed you of such potential monitoring.
Evaluation Services: Occasionally, we may allow you to evaluate our Services for a limited period or with limited functionality, strictly for personal, non-commercial use.
You may need to accept additional terms for certain Services. These terms will supplement these Terms and may modify your rights or obligations, including the obligation to pay fees.
Permissible Use of Services
(You may use our Services in compliance with these Terms, our Acceptable Use Policy, and any additional guidelines or supplemental terms posted on the Services ("Permitted Use").
Prohibited uses include, but are not limited to:
- Violating applicable laws or regulations, including those related to data or software export.
- Developing products or services that are used to perpetrate illegal actions with our Services.
- Decompiling, reverse engineering, or disassembling our Services.
- Crawling, scraping, or harvesting data from our Services beyond what is permitted by these Terms.
- Using our Services to gain unauthorized access to any system or information.
- Infringing on intellectual property rights or other legal rights.
- Engaging in activities that restrict or inhibit others from using our Services or could expose us or others to harm or liability.
Additionally, you must not harm, abuse, interfere with, or disrupt our Services by introducing malicious software, spamming, DDoSing, or circumventing any security measures.
Submissions and Generated Content
You may submit text, documents, or other materials to our Services ("Prompts"), which may generate responses ("Outputs"). Together, these are referred to as "Materials."
Rights to Materials: You are responsible for ensuring you have the necessary rights, licenses, and permissions for any Prompts you submit. As between you and ARC, you retain any rights you have in your Prompts. Subject to your compliance with these Terms, ARC Labs AG assigns to you any rights we may have in the Outputs.
Reliability of Outputs: Reactor and related technologies are evolving and may not always provide accurate information. You acknowledge that Outputs may contain inaccuracies and should not be relied upon without independent verification and due diligence.
Use of Materials: We may use Materials to provide, maintain, and improve the Services and to develop other products and services. We will not use non-publicly available Materials for model training except in cases where you provide Feedback or if your Materials are flagged for review to ensure compliance with our Acceptable Use Policy.
Feedback
We welcome your feedback and suggestions for improvement. By providing Feedback, you agree that we may use it without any obligation or compensation to you.
Subscriptions, Fees, and Payments
Fees and Billing: Some features or access to our Services may require payment. You are responsible for any applicable fees and for providing accurate billing information ("Payment Method"). Charges will be made to your Payment Method for any applicable fees and taxes. If you purchase access through an app store or distributor ("App Distributor"), their terms regarding billing and refunds will apply.
Subscriptions: Access to Reactor Pro and other subscription services requires a subscription ("Subscription"). Your Subscription will renew automatically unless canceled at least 24 hours before the end of the current term. Cancellations and refunds are subject to these Terms or the App Distributor's terms.
Third-Party Services and Links
Our Services may include third-party content or integrations. We do not control or assume responsibility for any third-party content, services, or integrations, which are subject to their respective terms and policies.
Software Updates
ARC may provide updates to our software, including apps ("ARC Reactor"), which may include open-source components. Conflicts between these Terms and third-party terms will be resolved via mediation, if terms are not met within three rounds of mediation the dispute will be settled in favor of ARC’s terms.
Ownership and Intellectual Property
All rights, title, and interest in and to the Services are owned by ARC Labs AG, our affiliates or our Providers. Except for the limited rights expressly granted in these Terms, you are not granted any additional rights or licenses.
Disclaimers, Liability, and Indemnification
Disclaimers: The Services and Materials are provided "as is" and "as available," without warranties of any kind. We do not guarantee the accuracy, reliability, or availability of the Services.
General Provisions
Changes to Services: We may modify or discontinue Services. We will provide notice where feasible.
Changes to Terms: We may update these Terms. Continued use of the Services after changes take effect constitutes acceptance of the new Terms.
Termination: We may terminate or suspend access to the Services for violations of these Terms or for security reasons.
Governing Law: These Terms are governed by Swiss law, with disputes subject to the jurisdiction of Swiss courts, unless otherwise required by local law.
