Terms of Service

1. Scope and Acceptance


These Terms of Service (“Terms”) govern your access to and use of the products, platforms, and services provided by ARC Labs AG, Gartenstrasse 6, 6300 Zug, Switzerland (“ARC”, “we”, “us”, “our”).

By using ARC’s websites, applications, APIs, or software — including Reactor by ARC and ARC Matrix (together the “Services”) — you agree to be bound by these Terms and our Privacy Policy.

The Participation Rewards Program is operated exclusively by ARC Inc. (Samoa). ARC Labs AG and ARC Efficiency GmbH do not issue, manage, or operate token rewards.

2. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services.

You agree to provide accurate information, maintain the confidentiality of your credentials, and promptly notify ARC of any unauthorized use of your account or access to the Services.

3. Permitted Use

You may use the Services only in accordance with these Terms and applicable law. You must not:

  • Violate any law, regulation, or third-party right;
  • Access or probe systems without authorization, interfere with or disrupt functionality, or circumvent security;
  • Reverse-engineer, copy, resell, or otherwise misuse the Services;
  • Upload or transmit unlawful, infringing, or malicious content.

ARC may modify, restrict, or suspend the Services at any time for maintenance, security, or compliance reasons.

4. Inputs and Outputs

When using ARC’s Services, you may provide information, text, or other content (“Inputs”), which may generate results or responses (“Outputs”).

  • Ownership: You retain all rights to your Inputs. ARC assigns to you any rights it holds in the Outputs, provided you comply with these Terms.
  • Use by ARC: ARC may process Inputs and Outputs to operate, maintain, and improve the Services. Non-public data are not used for model training unless you explicitly opt in or flag them for review.
  • Accuracy: Outputs may be incomplete or inaccurate. You are responsible for verifying all information before relying on it.

5. Privacy & Data Handling

ARC processes personal data in accordance with its Privacy Policy, which is incorporated by reference into these Terms.

By using the Services, you acknowledge that you have read and understood the Privacy Policy.

Product-specific data-handling rules (e.g., processing of Reactor Inputs or Matrix client data) are described in the relevant service documentation or contractual annexes.

6. Intellectual Property

All intellectual-property rights in the Services - including software, models, designs, and content - remain the property of ARC Labs AG or its licensors.

You receive a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

7. Subscriptions and Fees

Certain Services, such as Reactor Pro or enterprise Matrix deployments, require payment.

You agree to pay all applicable fees and maintain valid billing details. Subscriptions may renew automatically unless cancelled per the applicable platform’s policy. Refunds follow statutory rules or app-store terms.

8. Service-Specific Provisions

a. Reactor by ARC

  • Designed for individual and developer use via web or API.
  • Provides conversational AI and content-generation capabilities.
  • Free and paid tiers may differ in functionality and usage limits.
  • Outputs are automatically generated and may vary in accuracy.
  • Integration is permitted only through official ARC interfaces.

b. Matrix by ARC

  • Designed for institutional and enterprise deployment (banks, fintechs, regulated entities).
  • Operated and licensed by ARC Labs AG under separate contractual terms, including data-processing and service-level agreements.
  • Clients remain responsible for compliance with applicable financial-market and data-protection laws.

9. Security and Responsible Disclosure

ARC welcomes responsible reporting of security vulnerabilities affecting its systems, including Reactor and Matrix.

Reports made in good faith should be sent to security@arc.ai

ARC will not pursue legal action for good-faith, policy-compliant disclosures.

10. Disclaimers and Liability

The Services are provided “as is” and “as available.”

ARC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, ARC’s total liability for any claim shall not exceed the amount paid by you for the Services in the preceding twelve months.

You agree to indemnify and hold ARC harmless from claims arising from your misuse of the Services or breach of these Terms.

11. Changes and Termination

ARC may modify these Terms or discontinue parts of the Services at any time.

ARC may suspend or terminate your access if you breach these Terms or applicable law.

12. Governing Law and Contact

These Terms are governed by Swiss law, excluding its conflict-of-law rules.

Exclusive place of jurisdiction is Zug, Switzerland, unless mandatory law provides otherwise.
